Thank you for choosing Bedandbreakfasttv.com & Olivetreehost.com to handle video/web project. The following agreement specifies the terms and conditions of this project. Please review, sign and fax or mail us this contract with your first payment. Please keep a copy of this agreement for your records. If you need a copy of the contract containing our signature, we will be glad to send one to you at your request. Please be advised that Bedandbreakfasttv.com shall retain the original signed contract. Bedandbreakfasttv.com shall send the client a copy of the original signed contract upon the client’s request. If you have any questions about any item in this contract, please contact us, and we will try to help you better understand any provisions in this agreement.
Acornhill Bed and breakfast in this legal contract is referred to as the “client”.
1. Authorization. The above-named client is employing Bedandbreakfasttv.com/Olivetreehost.com, located at 11131 CR 604 Burleson TX 76028, for the specific project(s) of Video/Photography/web design & hosting. By signing this document, Acornhill Bed and breakfast and Bedandbreakfasttv.com, agree as to the legitimacy of this contract.
2. Project Elements. Please review the approved Proposal and Estimate for the Project Details and Fees.
a. Website redesign of current website.
b. Website hosting of current website for at least 1 year (receive a free Apple ipad)
c. Professional photos of 7 rooms, breakfast setup, outside shoots, and client’s portrait. All photos are royalty free, client may use photos in any way they see fit. Photos are 100% royalty free.
d. Video of property, rooms, breakfast and any elements we see fit will be in High Definition. Video will not exceed 10 minutes in length. Client will receive video file in a dvd mailed to the client’s address. Bedandbreakfasttv.com will also post the video on the client’s website, Bedandbreakfasttv.com’s website, Youtube and Vimeo.
The project includes redesign of current website, hosting of website, a video of the bed and breakfast and photography for 7 rooms plus outside and breakfast setup.
3. Maintenance and Hourly Rate. This agreement includes minor webpage maintenance for the first 60 days after the website is completed, including updating links and making minor changes to a sentence or paragraph. It does not include drastic maintenance such as removing nearly all the text from a page and replacing it with new text. The first 60 days includes free lesson on how to use the content management system to maintain the site.
Changes requested by the client beyond those limits will be billed at the hourly rate of $30, with a one hour minimum per update. If you believe that your website will need to be updated frequently, please contact us for pricing of maintenance packages.
This rate shall also govern additional work authorized beyond the maximums specified above for services such as general internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, photo editing, graphics services. Programming / Scripting charges are billed at the hourly rate of $30, with a one hour minimum per update.
4. Web Site Hosting. By using Olivetreehost.com’s website hosting services, the client agrees to the terms listed at the below website URLS. This section does not apply if the client will not be using Olivetreehost.com’s website hosting services. The client must host with Olivetreehost.com for at least 1 year in order to receive Apple ipad.
5. Completion Date. Bedandbreakfasttv.com and the client must work together to complete the project specified above in a timely manner. We agree to work expeditiously to complete the project.
The client is responsible for supplying Bedandbreakfasttv.com with complete text and the necessary items and graphics that are not developed by Bedandbreakfasttv.com for the web pages in a timely matter.
The client has 60 days within the date of this contract to supply all information necessary to complete the website. If after 60 days Bedandbreakfasttv.com has still not received the information necessary to complete the project, then the client may be in breach of contract.
6. Assignment of Project. Bedandbreakfasttv.com reserves the right to assign subcontractors to this project to ensure on-time completion.
7. Limitation of Liability. In no event shall Bedandbreakfasttv.com be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, if Bedandbreakfasttv.com has not previously been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
8. Copyrights and Trademarks. The client represents to Bedandbreakfasttv.com and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Bedandbreakfasttv.com for inclusion in the project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Bedandbreakfasttv.com and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
9. Client and Third Party Site Modifications. Bedandbreakfasttv.com is not responsible for any changes made to the site by any other party, or an authorized agent. If the client or an agent other than Bedandbreakfasttv.com attempts updating the client’s pages, time to repair web pages will be assessed at the hourly rate of $30, and is not included as part of the updating time.
10. Payment of Fees. In order for Bedandbreakfasttv.com to keep its rates low, payments must be made promptly. Bills will be deemed delinquent and assessed a $30 charge if payment is not received within 30 days after the due date. If an amount remains delinquent 60 days after its due date, an additional 20% penalty will be added for each month of delinquency. Bedandbreakfasttv.com reserves the right to remove web pages from viewing on the internet until final payment is made. If case collection proves necessary, the client agrees to pay all fees incurred by that process.
The payment structure is as follows:

Discount of $20 for booking before Nov. 15 2010
$3300 * 20% = 660
$3300-$660 = $2640
11. Initial Payment. Payment of the base fee will be made as follows: The total cost of the project will be made from the client in 3 payments in the amount $2640.
First Payment = 80% of $2640 as down payment, $2112.00 is due by November 15, 2010
Second Payment = 10% Upon Arrival December 7 2010: $264
Third Payment = 10% within 7 days of final production product delivered to you: $264
All payments should be made to Bedandbreakfasttv.com via our parent’s company’s website. http://www.olivetreehost.com/firstpayment.
Upon reception of the second payment when Bedandbreakfasttv.com arrives on December 7 2010, client will receive the Apple ipad 3G 16 gig version.
12. Sole Agreement. The agreement contained in this “Website Design / Video & Photography Contract” constitutes the sole agreement between Bedandbreakfasttv.com and the client regarding the project outlined above and in the approved proposal. Any additional work not specified in this contract must be authorized by a written change order.
13. Refund Policy. The client may halt work and request for a refund within 30 days of the date of this contract by mailing a certified letter to the Director of Bedandbreakfasttv.com , 11131 CR 604 Burleson, Texas 76028 If at any time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate of $30, which could result in higher fees then the quote prices given.
14. Summary. This contract is for the specific project(s) of See section 2. Our agreed fees for the services we describe above in total are $2640.
